1. Acceptance of Terms
The National Association of Extension Program and Staff Development Professionals (NAEPSDP) provides its webite, subject to the following Terms of Service ("TOS"), which may be updated by the NAEPSDP from time to time. The Terms of Service govern both the NAEPSDP Member organization and the users it has granted access to the website.
2. Description of Service
The NAEPSDP website currently provides members and other users with access to communications tools, forums, file areas, and personalized content through its online interface. Unless explicitly stated otherwise, any new features that augment or enhance the current website shall be subject to the TOS and must receive prior approval by the NAEPSDP Board of Directors (BOD).
3. Member/Participant Registration
In consideration of use of the website, users agree to the best of their abilities to: (a) provide current and complete information about themselves, and their organization (b) maintain and update the member and registration data to keep it current and complete. In addition, members understand that in order to keep them informed of NAEPSDP business items and events, that the NAEPSDP will on a periodic basis send email based communications to the members notifying them of such items and events. Members agree that receiving these emails is a part of their use of the website service, and if they wish to not receive these emails they must terminate their account.
4. Member Account & Password
Members are responsible for maintaining the confidentiality of the password and account, and is fully responsible for all activities that occur under such password or account. Member agrees to (a) immediately notify the NAEPSDP of any unauthorized use of member password or account or any other breach of security, and (b) ensure that member exits from its account at the end of each session. NAEPSDP will not be liable for any loss or damage arising from member’s failure to comply with this section.
5. Member Conduct
Member understands that all information, data, text, software, sound, photographs, graphics, video, messages or other materials (content), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such content originated. This means that the member and users, and not the NAEPSDP, is entirely responsible for all content that it uploads, posts, emails, transmits or otherwise makes available via the NAEPSDP website
NAEPSDP do not control all of the content published on the website, as such, does not guarantee the accuracy, integrity or quality of such Content.
Members agree to not use the NAEPSDP website to upload, post, email, transmit or otherwise make available any content that is unlawful, threatening, libelous, invasive of another's privacy, or racially or ethnically objectionable.
Members acknowledges that the NAEPSDP shall have the right (but not the obligation) and sole discretion to remove or reclassify any content that violates the TOS.
Members agree to indemnify and hold the NAEPSDP and its representatives, officers, agents, or other partners harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of content posted, transmitted or made available through the website, or breach of the TOS.
7. Intellectual Property
Members agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the website.
The NAEPSDP website will provide links to other Web sites or resources. Because the NAEPSDP and its representatives have no control over such sites and resources, members/user acknowledge and agree that the NAEPSDP and its representatives are not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.
9. Trademarks and Logos
All trademarks, service marks, trade names or other words or symbols identifying the NAEPSDP will remain NAEPSDP’s exclusive property. Members or website users do not hold a license to use any NAEPSDP logo except as fulfilling the responsibilities of their elected and/or appointed roles (by the BOD) or for non-commercial educational uses.
The NAEPSDP and its representatives respect the intellectual property of others, and requires members to do the same. If a member/user believes that their work has been copied in a way that constitutes copyright infringement, or its intellectual property rights have been otherwise violated, please provide the webmaster with a description of the copyrighted work or other intellectual property that the member/user claims has been infringed, along with the member name, address, telephone number and e-mail address. Upon receipt of such information, the NAEPSDP representatives, at its sole discretion, may perform an investigation and may take appropriate action if it desires.
11. Disclaimer of Warranties
Members and website users expressly understand and agree that use of the website is at their sole risk to the extent permitted by law.
